Abstract
El presente trabajo consiste en la traducción del inglés al español de un modelo de contrato de distribución selectiva elaborado por la Comisión de Derecho y Práctica Mercantil de la Cámara de Comercio Internacional (CCI). Se trata de un texto correspondiente al género jurídico-mercantil cuya función es servir de modelo para elaborar contratos relacionados con transacciones de ámbito internacional. El texto traducido se acompaña de un comentario sobre la traducción que incluye: introducción, análisis intratextual, identificación de los problemas de traducción y aplicación de estrategias, plan de documentación y bibliografía, además de glosario. 4 1 INTRODUCCIÓN 1.1 Justificación El texto elegido para este trabajo de fin de máster corresponde a “ICC model selective distribution contract” y su naturaleza es jurídico-mercantil1. Se trata de un modelo de contrato elaborado por la Comisión de Derecho y Práctica Mercantil de la Cámara de Comercio Internacional (CCI) en 2004 y todavía en vigor. La función del texto sujeto de este trabajo es servir como modelo para la elaboración de un tipo específico de contratos internacionales, en particular, los de distribución selectiva. Las partes contratantes son empresas que participan en una transacción comercial internacional. El interés que el TO me ha despertado como trabajo de traducción viene dado fundamentalmente por ser un texto con una aplicación práctica. Se trata de un texto tipo que la Cámara de Comercio e Industria de Zaragoza (CCIZ) ha comprado a la CCI para facilitarlo a los usuarios de sus servicios de apoyo a la internacionalización empresarial y comercial, dado que, en el contexto económico actual, las empresas de nuestra región son cada vez más proclives a trabajar en el ámbito de la exportación para compensar la disminución de la demanda interna. Este hecho hace que la necesidad de los textos relacionados con el comercio exterior se incremente. Durante el desarrollo de las prácticas profesionales que he realizado en el marco del Máster de traducción de textos especializados, el personal técnico del Departamento de Internacionalización de la Cámara de Zaragoza sugirió que la traducción al español de este texto sería muy útil para aquellos empresarios hispanohablantes que no tienen un buen conocimiento de la lengua inglesa y que requieren una comprensión completa del contenido e implicaciones del contrato antes de negociarlo y firmarlo. El texto original está compuesto por el modelo de contrato, sus apéndices y comentarios de los autores para una mejor comprensión del uso de este modelo (ver anexo I). En atención a las instrucciones para la elaboración del trabajo de fin de máster en cuanto a la extensión del texto, se han excluido de la traducción tanto los apéndices como los comentarios. Con esta adaptación, el TO tiene una extensión de 3300 palabras. 1.2 Presentación del texto El texto ICC Model Selective Distributorship Contract se publicó en 2004, en formato papel y digital, y forma parte del catálogo de la librería virtual de la Cámara de Comercio Internacional. La CCI es la organización que representa mundialmente intereses empresariales. Se constituyó en París en 1919 y sus fines estatutarios básicos son actuar a favor de un sistema de comercio e inversiones abierto y crear instrumentos que lo faciliten2. El TO que nos ocupa fue elaborado por la Comisión de Derecho y Práctica Mercantil que reúne expertos de todo el mundo para debatir y buscar soluciones a los problemas que los agentes internacionales del comercio encuentran en su práctica. La Comisión se divide en grupos de trabajo como el dedicado a las leyes europeas de contratación o el de compraventa internacional. 5 un modelo de contrato con dos rasgos definitorios muy específicos: unos sólidos fundamentos jurídicos lo más neutros posibles (para no interferir con los ordenamientos jurídicos específicos de cada país) y un espíritu de ecuanimidad para ambas partes. Todo ello sin dañar la libertad de cada una de las empresas para negociar y alcanzar acuerdos en puntos concretos. Este equilibrio lo consiguen los autores a través de la introducción de comentarios, opciones abiertas y notas al final del texto. En mi opinión, este espíritu de ecuanimidad es uno de los aspectos que es preciso tener en mente a la hora de traducir el TO. Este tipo de contrato mercantil se refiere, en concreto, a la distribución selectiva. En primer lugar, entendemos por distribución “aquel conjunto de actividades, que se realizan desde que el producto ha sido elaborado por el fabricante hasta que ha sido comprado por el consumidor final, y que tiene por objeto precisamente hacer llegar el producto (bien o servicio) hasta el consumidor”3 Según Andrés Ortiz Herbener, “el derecho de distribución […] regula las relaciones entre el fabricante, importadores o proveedores con los distribuidores mayoristas o minoristas, para la comercialización de sus productos o servicios”4. Estas relaciones quedan reguladas por los correspondientes contratos de distribución, entre los que se reconocen tres tipos en sentido estricto: distribución selectiva, exclusiva y franquicia5. En particular, la distribución selectiva, permite comercializar productos a través de una red de vendedores cualificados, que deben cumplir unos criterios de selección determinados. La distribución selectiva se aplica a productos cuya venta requiere un asesoramiento técnico preciso y eficaz, así como un buen servicio de posventa, que preserven la imagen de garantía y posicionamiento de la marca del fabricante. Normalmente, este tipo de contratos se establecen en la distribución de productos de alta tecnología y cosméticos de alta gama, entre otros, con una imagen de exclusividad y calidad.6. Los firmantes del contrato, proveedor-exportador y distribuidor-importador, son de procedencia global, pero pertenecientes al mismo nicho de mercado, que buscan en este modelo de contrato una guía para sentar las bases de un acuerdo de negocios favorable a ambas partes que les proporcione un marco de actuación con garantías legales. 3 Wikipedia.es. 4 Id. nota 3. 5 Revista Jurídica. 8 ARTICLE 2 – GOOD FAITH AND FAIR DEALING 2.1 In carrying out their obligations under this Contract the parties will act in accordance with good faith and fair dealing. 2.2 The provisions of this Contract, as well as any statements made by the parties in connection with it, shall be interpreted in good faith. ARTICLE 3 – MODIFICATION OF THE RANGE OF PRODUCTS 3.1 Any new product added hereafter by the parties to the range of the Supplier’s Products shall be deemed a Product covered by the Contract. 3.2 The Supplier may withdraw from the list of Products any Product that he no longer wishes to include in his range. The Supplier shall, however, inform the Distributor of such decision 30 days in advance. ARTICLE 4 – LEGAL STATUS OF THE DISTRIBUTOR 4.1 The Distributor shall conduct its activities as an independent business operator in its own name and on its own account. The Distributor is neither an employee, agent, sales representative, nor a partner of the Supplier. 4.2 The Distributor shall not hold itself out as having any power or authority to enter into contracts in the name of the Supplier, to commit the Supplier in any way towards third parties or to incur any obligation on behalf of the Supplier. 4.3 The Distributor shall act in compliance with all applicable laws and regulations and shall apply for, obtain and have renewed all permits, authorizations and licences required for its activity at its own expense. ARTICLE 5 – DISTRIBUTOR’S OBLIGATION TO PURCHASE 5.1 The Distributor undertakes to purchase directly from the Supplier the quantities of Products provided in Annex 3 during each period indicated therein. For successive periods not considered in the above Annex parties will agree in good faith, taking into account the market conditions, upon reasonable minimum quantities. In case of disagreement, the quantities applicable to the previous period will apply. 5.2 In the event the Distributor fails to fulfil the obligation to purchase set forth in the preceding paragraph, the Supplier may, and at its sole discretion, terminate the Contract, giving 30 days’ prior written notice thereof. Such right must be exercised within 90 days from the end of the period of time to which the minimum turnover refers. Unless the non-attainment of the minimum quantities implies the breach of other contract obligations, the Supplier’s right to terminate the Contract will be the only consequence of not fulfilling the obligation under Article 5.2.
9 ARTICLE 6 – CONDITIONS OF SUPPLY – PRICES 6.1 The Supplier shall in principle supply all Products ordered, subject to their availability, and provided payment of the Products is adequately warranted. It may not unreasonably reject orders received from the Distributor; in particular, a repeated refusal of orders contrary to good faith (e.g. if made for the purpose of hindering the Distributor’s activity) shall be considered as a breach of contract by the Supplier. 6.2 The Supplier agrees to make its best efforts to fulfil the orders it has accepted. 6.3 Sales of the Products to the Distributor shall be governed by the Supplier’s general conditions of sale, as in force from time to time, the currently applicable version of which is attached to this Contract (Annex 4). In case of conflict between such general conditions and the terms of this Contract, the latter shall prevail. 6.4 The prices payable by the Distributor shall be those set forth in the Supplier’s price-list in force at the time the order is received by the Supplier. Unless otherwise agreed, such prices are subject to change at any time, subject to one month’s notice. The new prices shall not be applied to orders received by the Supplier before the entry into force of the new prices. 6.5 The Distributor agrees to comply, with the utmost care, with the terms of payment agreed upon between the parties. 6.6 It is agreed that the Products delivered remain the Supplier’s property until the Supplier has received payment in full. ARTICLE 7 – INFORMATION 7.1 The Distributor shall, at the request of the Supplier, provide information concerning: (a) the sales of the Products and the total turnover inclusive of VAT, as well as a physical inventory of the Products; (b) the invoices regarding resale of the Products to other distributors, if there are clear and serious indications of the resale of Products to non-selected distributors. 7.2 The Distributor shall furthermore, of its own initiative, inform the Supplier about: (a) difficulties encountered, in particular regarding requirements of the customers and the market situation; (b) Requests by customers for delivery of goods of which one may presume that they are likely to be resold; (c) Modifications that have arisen or could arise in the Distributor’s company that could affect the normal continuation of their relations. ARTICLE 8 – MARKETING OF THE PRODUCTS 8.1 The Distributor shall observe the Supplier’s marketing standards with respect

17 3 ANÁLISIS INTRATEXTUAL Siguiendo el modelo propuesto por Suau (2010) para el análisis intratextual previo a la traducción de textos de géneros de economía y empresa, a continuación se exponen las características intratextuales de este modelo de contrato de distribución selectiva: GÉNERO: contrato mercantil. Subgénero: contrato de distribución selectiva internacional. Propósito comunicativo: establecer los procedimientos, condiciones y limitaciones de la relación comercial entre proveedor y distribuidor. Esta estructura ha permitido a los autores reducir al mínimo el uso de los mecanismos de cohesión y de los marcadores del discurso. En conjunto, todo ello contribuye a la máxima referencialidad en la exposición de los contenidos. Esta voluntad de claridad referencial tan manifiesta, junto al hecho de que los autores sean expertos de diferentes países y que su público objetivo sea también internacional, invita a establecer una relación con el Simplified Technical English (STE), con el que el texto comparte numerosos rasgos: no se emplean nominalizaciones de más de tres palabras; los párrafos no exceden de seis oraciones; no se emplea jerga, aunque sí terminología específica (semi-técnica); los verbos aparecen en sus formas simples (si bien en la función prescriptora obliga en este caso al uso de verbos modales); la voz más empleada es la activa; el uso del gerundio y del participio presente es residual.

22 LAS PARTES ACUERDAN LO SIGUIENTE CLÁUSULA 1 – ALCANCE DEL CONTRATO Con este contrato, el Proveedor garantiza al Distribuidor el derecho a comercializar los productos enumerados en el Anexo 1-A, incluyendo sus accesorios y piezas de recambio correspondientes, si los hubiera, (todo ello denominado de ahora en adelante los “Productos”) en los puntos de venta indicados en el Anexo 1-B y cuyos requisitos se definen en el Anexo 2. Cláusula 2 – BUENA FE Y HONRADEZ 2.1 En el cumplimiento de sus obligaciones contractuales, las partes actuarán con honradez y de buena fe. 2.2 Las disposiciones recogidas en este contrato, así como las declaraciones hechas por las partes en relación con el mismo, se interpretarán de buena fe. CLÁUSULA 3 – MODIFICACIÓN DEL LISTADO DE PRODUCTOS 3.1 Cualquier producto que las partes añadan de aquí en adelante al listado de Productos del Proveedor se considerará objeto del Contrato. 3.2 El Proveedor puede retirar cualquier Producto que desee del listado de Productos. No obstante, el Proveedor informará al Distribuidor de esta decisión con 30 días de adelanto. Cláusula 4 – ESTATUS DEL DISTRIBUIDOR 4.1 El Distribuidor desarrollará sus actividades como operador independiente, por su propia cuenta y en su propio nombre. El Distribuidor no es empleado, agente o representante comercial del Proveedor, ni su socio. 4.2 El Distribuidor no se atribuirá la capacidad o la autoridad ni de formalizar contratos en nombre del Proveedor, ni de comprometer del modo que sea al Proveedor con terceras partes, ni de contraer obligación alguna en nombre del Proveedor. 4.3 El Distribuidor actuará conforme a la legislación y normativa aplicables. Asimismo, solicitará, obtendrá y renovará todos los permisos, autorizaciones y licencias que su actividad requiera, asumiendo los costes. CLÁUSULA 5 – OBLIGACIÓN DE COMPRA POR PARTE DEL DISTRIBUIDOR 5.1 El Distribuidor se compromete a comprar directamente al Proveedor las cantidades de Productos que aparecen en el Anexo 3 durante cada uno de los periodos indicados en el mismo. Para los periodos subsiguientes
23 no incorporados en el mencionado Anexo, las partes acordarán de buena fe cantidades mínimas razonables, teniendo en consideración la situación del mercado. En caso de desacuerdo, serán válidas las cantidades establecidas en el periodo anterior. 5.2 De no cumplir el Distribuidor la obligación de compra establecida en el párrafo anterior, el Proveedor puede rescindir el contrato a su exclusivo criterio con un preaviso por escrito de 30 días. Podrá ejercer este derecho en un plazo de 90 días a partir del término del periodo en que debe realizarse la compra mínima de existencias. Si no se cumple lo acordado en la Cláusula 5.2, el Proveedor tendrá derecho a rescindir el contrato, siendo esta la única consecuencia, a menos que la compra de cantidades inferiores a las mínimas implique el incumplimiento de otras obligaciones contractuales. CLÁUSULA 6 – CONDICIONES DE APROVISIONAMIENTO - PRECIOS 6.1 El Proveedor suministrará, en principio y en función de su disponibilidad, todos los Productos pedidos, siempre que se garantice su pago de forma adecuada. No puede rechazar sin motivo pedidos del Distribuidor; se considerará en particular un incumplimiento de contrato por parte del Proveedor el rechazo de pedidos reiterado y de mala fe (por ejemplo, si se hace con el propósito de entorpecer la actividad del Distribuidor). 6.2 El Proveedor acuerda esforzarse todo lo posible en cumplir con los pedidos que haya aceptado. 6.3 La venta de Productos al Distribuidor vendrá regulada por las condiciones de venta generales del Proveedor, con sus correspondientes actualizaciones ocasionales cuya última versión aplicable se adjunta a este Contrato (Anexo 4). En caso de conflicto entre dichas condiciones generales y los términos de este Contrato, serán estos últimos los que prevalezcan. 6.4 Los precios a pagar por el Distribuidor serán los establecidos en la lista de precios del Proveedor con vigencia en el momento en que este reciba el pedido. A menos que se acuerde otra cosa, estos precios están sujetos a cambios en cualquier momento, siempre con un mes de preaviso. Los nuevos precios no serán aplicables a los pedidos recibidos por el Proveedor antes de su entrada en vigencia. 6.5 El Distribuidor acepta cumplir meticulosamente las condiciones de pago acordadas entre las partes. 6.6 Se acuerda que los Productos entregados continuarán siendo propiedad del Proveedor hasta que este haya recibido su pago íntegro. CLÁUSULA 7 - INFORMACIÓN 7.1 El Distribuidor aportará, a petición del Proveedor, información relativa a: (a) la venta de los Productos y la facturación total con IVA incluido,
24 además de un inventario físico de los Productos; (b) las facturas relacionadas con la reventa de los Productos a otros distribuidores, si existen indicios claros y graves de la reventa de Productos a distribuidores no seleccionados. 7.2 Además, el Distribuidor informará, de motu propio, al Proveedor sobre: (a) dificultades sobrevenidas, especialmente en lo que se refiere a las necesidades de los clientes y a la situación del mercado; (b) Solicitudes de clientes para que se les sirvan mercancías que se pueda presuponer están destinadas a la reventa; (c) Cambios que hayan surgido o puedan surgir en la empresa del Distribuidor y que puedan afectar al desarrollo normal de la relación comercial. CLÁUSULA 8 – COMERCIALIZACIÓN DE LOS PRODUCTOS 8.1 El Distribuidor observará las normas de comercialización del Proveedor con respecto a los siguientes asuntos: 8.1.1 Instalación del punto de venta La localización del punto de venta no dañará la imagen de marca de los Productos y será adecuada a la buena reputación de dicha imagen; al Distribuidor no se le permite ofrecer en el punto de venta productos o servicios cuya comercialización pudiera incidir de forma negativa en la imagen de la marca del Proveedor. El espacio dedicado a la venta de los Productos deberá ser adecuado a la importancia de la marca comercial del Proveedor y conforme a los estándares indicados por el Proveedor. El almacenamiento de los Productos se realizará en condiciones apropiadas para su naturaleza y se ajustará por completo a las especificaciones del Proveedor en cuanto a su conservación. 8.1.2 Asesoría y demostración Se le facilitará a cualquier persona que lo solicite asesoría y demostraciones sobre los Productos, de acuerdo con las directrices, recomendaciones y argumentos de venta facilitados por el Proveedor y/o los aportados durante los cursos de formación organizados por el Proveedor. El Distribuidor contratará el personal cualificado necesario, en función de la superficie del punto de venta, los horarios de apertura y la cantidad de Productos comercializados. 8.1.3 Promoción de ventas El Distribuidor hará todo lo posible para aplicar en el punto de venta las promociones que organice el Proveedor en el ámbito nacional, si bien se entiende que esta obligación no impedirá al Distribuidor establecer libremente precios de reventa.
25 CLÁUSULA 9 – REVENTA DE PRODUCTOS 9.1 El Distribuidor solo puede revender los Productos a consumidores finales o a otros distribuidores seleccionados; en este último caso, el Distribuidor tomará todas las precauciones posibles para asegurar que los Productos entregados no salen de la red de distribuidores seleccionados y conservará, durante un año, copia de las facturas correspondientes a estas ventas, que deberá entregar al Proveedor en caso de que fuese necesario realizar una inspección. 9.2 El Distribuidor dispone de libertad para establecer los precios de reventa de los Productos. Sin embargo, el Proveedor puede indicar precios recomendados de reventa siempre que ello no limite en modo alguno el derecho del Distribuidor a ofrecer precios más bajos. CLÁUSULA 10 – ASISTENCIA Y FORMACIÓN 10.1 En la medida en que sea necesario para una correcta comercialización de los Productos, el Proveedor facilitará asistencia técnica al Distribuidor y a su personal, en especial durante el periodo de formación del mismo, con el fin de proporcionar al usuario final los servicios necesarios para asegurar la elección adecuada de Producto y su uso correcto. 10.2 Los gastos de viaje y alojamiento de los empleados del Proveedor que participen en esta formación correrán a cuenta del Proveedor. El Distribuidor asistirá junto a su personal clave a los cursos de formación facilitados por el Proveedor. Los gastos de viaje y alojamiento de los empleados del Distribuidor correrán a cargo del propio Distribuidor. CLÁUSULA 11 – SERVICIO POSVENTA 11.1 El Distribuidor y su personal proporcionarán servicios posventa (de mantenimiento, reparación y garantía, por ejemplo) para todos los Productos vendidos a través del sistema de distribución selectiva, de acuerdo con las normas del Proveedor y ajustándose a la imagen de marca de los Productos. 11.2 Las características del servicio posventa, así como la asignación de su coste (en especial cuando se refiere a reparaciones realizadas durante el periodo de garantía) se especifican en el Anexo 5. Cláusula 12 – EXISTENCIAS DE LOS PRODUCTOS 12.1 El Distribuidor mantendrá permanentemente existencias de los Productos, de acuerdo con lo previsto en el Anexo 6, con el fin de atender las exigencias de los clientes de la manera más satisfactoria posible.
32 5 IDENTIFICACIÓN DE PROBLEMAS DE TRADUCCIÓN Y APLICACIÓN DE ESTRATEGIAS Los problemas fundamentales que plantea este trabajo son de tipo lingüístico. Léxico técnico y semi-técnico: a diferencia del vocabulario técnico, que se resuelve con los diccionarios específicos (ej.: turrnover, moratorium, construe), el semi-técnico se caracteriza por ser polisémico y requiere, en primer lugar, conocer las diversas acepciones y, en segundo lugar, comprender correctamente el contexto lingüístico y extralingísitico para entender qué acepción es válida en cada caso. Términos como clause, article, composition, observe, expiration o provision requieren cautela a la hora de traducirlos porque en el ámbito jurídico-mercantil tienen significados e implicaciones diferentes a las evidentes del uso general del inglés (ver. Anexo I, Glosario). La estrategia que he seguido para la elección del término adecuado ha sido valerme de recursos bibliográficos, fundamentalmente en línea, para detectar los términos polisémicos, indagar en su significado específico y dar con el término correspondiente en LM. En este sentido, han sido especialmente útiles los textos paralelos en español y los recursos electrónicos proporcionados por los organismos internacionales asociados al comercio exterior (ver 6. Plan de documentación y bibliografía). Asimismo, ha habido algunos términos que, sin ser técnicos ni semitécnicos, han requerido una reflexión en base al contexto extratextual para tomar una decisión sobre su transposición a la LM, por ejemplo: TO: The Distributor shall engage a sufficient number of qualified employees, taking into account the area of sales outlet, the opening time and the number of Products marketed. (8.1.2). TM: “El Distribuidor contratará el personal cualificado necesario, en función de la superficie del punto de venta, los horarios de apertura y la cantidad de Productos comercializados”. Aunque la opción más inmediata hubiera sido traducir “area of sales outlet” como “zona del punto de ventas”, he decidido optar por la única acepción referente al tamaño del punto de venta, dado que los otros parámetros se refieren a conceptos cuantitativos y no cualitativos. Inglés simplificado: en la medida que he podido he tratado de mantener el estilo referencial y la sintaxis de oraciones simples de este texto en la LM, aunque no siempre es habitual en TTPP de LM, por lo que cabe plantearse si el registro será el adecuado en español. La estrategia que he seguido ha sido la de ser fiel al TO en atención a la política de la CCI y porque la utilidad de esta traducción, como ya se ha dicho, es de carácter informativo para el lector final. No obstante, me he encontrado con dos dificultades a la hora de traducir que me gustaría señalar: En el preámbulo, la segunda consideración está formulada con una oración de
33 relativo que, al carecer de coma delante del pronombre, debería omitirse en el texto meta y por tanto quedaría convertida en una oración especificativa. TO: WHEREAS the Distributor fulfils the selection criteria defined in this Contract (Annex 2) which are necessary for marketing these products correctly. TM: “CONSIDERANDO que el Distribuidor cumple los criterios de selección definidos en el Anexo 2 de este Contrato, que son necesarios para comercializar de forma adecuada estos productos”. No obstante, para asegurarme de la semántica de esta consideración he tenido que recurrir al anexo 2 y ver que en su contenido no se diferencia entre “necessary” y “unnecessary criteria” y, por lo tanto, he decidido introducir la coma en el texto meta para convertirla en explicativa. En la cláusula 10.2 se dice: “The Distributor shall attend and shall have the relevant personnel attend the training courses provided by the Supplier”. No veo razón para el uso de la estructura have+s.o. do s.th. que, debido a su significado “dar órdenes”, creo que no se corresponde de una forma literal en español en este contexto. Por lo tanto, he reformulado la proposición de manera que refleja la obligación, expresada en el TO, a asistir a los cursos tanto del Distribuidor como de los empleados, pero sin la connotación de orden del distribuidor a su personal: TM: “El Distribuidor asistirá junto a su personal clave a los cursos de formación facilitados por el Proveedor”.

48 ARTICLE 8 – MARKETING OF THE PRODUCTS 8.1 The Distributor shall observe the Supplier’s marketing standards with respect to the following matters: 8.1.1 Installation of the sales outlet The setting of the sales outlet shall not tarnish the brand image of the Products and shall correspond to the good standing of such image; the Distributor may not offer at the sales outlet products or services whose marketing could adversely affect the image of the Supplier’s brand. The area devoted to the sale of the Products shall be adequate to the importance of the Supplier’s trademark and shall conform to the standards indicated by the Supplier. Storage of the Products shall take place in suitable conditions with regard to their nature and fully conform to the Supplier’s specifications regarding their preservation5. 8.1.2 Advice and demonstration Advice regarding and demonstration of the Products shall be offered to anyone who requests it, in accordance with the guidelines, recommendations and sales arguments given by the Supplier and/or provided during training courses organized by the Supplier. The Distributor shall engage a sufficient number of qualified employees, taking into account the area of sales outlet, the opening time and the number of Products marketed. 8.1.3 Sales promotion The Distributor shall make every effort to apply in the sales outlet sales promotions organized on a national basis by the Supplier, it being understood that this obligation shall not prevent the Distributor from freely establishing resale prices.ARTICLE 9 – RESALE OF THE PRODUCTS 9.1 The Distributor may only resell the Products to consumers or to other selected distributors; in the latter case, the Distributor shall take all possible precautions to ensure that Products delivered in such manner do not leave the network of selected distributors and shall retain a copy of the invoices pertaining to such sales for one year and shall forward these to the Supplier if an inspection seems necessary. According to the EU antitrust rules the distributor must remain free to sell the products to any other member of the network. This clause aims at facilitating the supplier’s control over such sales, in order to make sure that the products are not sold to non-members of the network. A very special problem arises when the supplier wishes to limit the sale of certain products to a certain area (and thus to forbid the distributors of such area to resell them elsewhere). In cases where the supplier wishes to launch certain new products in one area only,
49 exceptions to the freedom of horizontal sales are possible for a limited period of time. In this case the advice of an expert is recommended. 9.2 The Distributor is free to fix the resale prices of the Products. However, the Supplier may indicate “non binding” resale prices, provided this in no way limits the Distributor’s right to grant lower prices. ARTICLE 10 – ASSISTANCE AND TRAINING 10.1 To the extent needed for the correct marketing of the Products the Supplier shall provide technical assistance to the Distributor and his personnel, in particular through the training of such personnel, in order to provide the end user with the services necessary to ensure the correct choice and the correct use of the Products. 10.2 The travel and lodging expenses of the Supplier’s employees involved in the above shall be paid by the Supplier. The Distributor shall attend and shall have the relevant personnel attend the training courses provided by the Supplier. The travel and lodging expenses of the Distributor’s employees shall be paid by the Distributor. ARTICLE 11 – AFTER-SALES SERVICE6 11.1 The Distributor and his personnel shall provide after-sales service, i.e. the maintenance, repair and warranty of all Products sold through the selective distribution system, in compliance with the Supplier’s standards and in a manner consistent with the brand image of the Products. 11.2 The characteristics of the service as well as the allocation of cost of such aftersales service (particularly for repairs made during the warranty period) are set out in Annex 5. ARTICLE 12 – STOCK OF PRODUCTS 12.1 The Distributor shall continuously maintain a stock of the Products, in accordance with the provisions of Annex 6, in order to fulfil the customers’ requirements in the most satisfactory manner. 12.2 If Annex 6 has not been completed, the Distributor shall continuously maintain an adequate stock of the Products to supply the market normally. ARTICLE 13 – PRESENTATION OF THE PRODUCTS The Distributor may not, without the consent of the Supplier, change or alter, in any manner whatsoever, the Product, its packaging or any information thereon, except as required by the law. The Supplier will usually seek to have a standard presentation and quality for
50 its products in all markets where they are sold. Any modification or alteration of the products by the Distributor, without the Supplier’s authorization, could disrupt this requirement and possibly confuse customers. ARTICLE 14 – INTELLECTUAL PROPERTY RIGHTS 14.1 The Distributor shall use the Supplier’s trademarks, trade names or any other symbols. However, the Distributor may do so only for the purpose of identifying and advertising the Products within the scope of this Contract and in the Supplier’s sole interest. 14.2 Any use of the Supplier’s trademarks or other trade names or symbols shall be submitted for prior approval to the Supplier, who will check if it conforms to his image and marketing strategies. 14.3 The Distributor’s right to use the Supplier’s trademarks, trade names or symbols, as provided for under the first paragraph of this Article, shall cease immediately upon the expiration or termination, for any reason, of the present contract. This does not preclude the Distributor’s right to sell the Products in stock at the date of expiration of the Contract which bear the Supplier’s trademarks. 14.4 The Distributor shall notify the Supplier of any infringement of the Supplier’s trademarks, trade names or symbols, or other industrial property rights, that comes to its attention. The Selected Distributor does not as a rule operate its business under the Supplier’s trademark, since it also sells competing products. However, it may be to its advantage to advertise itself as a distributor selected by the Supplier and to use, for such purpose, the trademark and other distinctive marks and trade names of the Supplier. ARTICLE 15 – INSPECTIONS 15.1 The Distributor shall grant the Supplier access to his sales outlet in order to inspect whether the standards stipulated by the Contract are being observed. 15.2 For such purposes, the Supplier may have recourse to the services of representatives or specialists (accountants, technicians, lawyers, etc.). 15.3 Such inspections, however, may only take place during normal business hours, and following at least 7 days’ written notice before the date desired. ARTICLE 16 – CONFIDENTIALITY 16.1 Each party shall refrain from disclosing confidential information concerning the other party or using such information for purposes other than for the proper performance of the Contract. Information that is already in the public domain
51 shall not be deemed confidential. 16.2 The obligation provided above shall survive termination of the Contract. ARTICLE 17 – ASSIGNMENT AND TRANSFER OF THE CONTRACT 17.1 The Distributor may request the Supplier to be authorized to assign the Contract to a third party which fulfils the selection criteria established by the Supplier. 17.2 The Supplier shall notify his acceptance or rejection within a maximum period of 30 days, by means of communication ensuring evidence and date of receipt (e.g. registered mail with return receipt, special courier); lack of response within such period shall be deemed to be an acceptance. 17.3 Any assignment that takes place despite the Supplier’s refusal to approve shall entitle the Supplier to terminate this Contract with immediate effect in conformity with Article 19. A selective distribution contract is not necessarily a contract entered into “intuitu personae”. However, the Distributor must meet certain requirements in order to be selected. It is thus preferable to provide for an approval clause, allowing the Supplier to reject a potential assign who does not fulfil such conditions even before the assignment or transfer. ARTICLE 18 – DURATION ARTICLE 19 – EARLIER TERMINATION 19.1 Each party may terminate this Contract with immediate effect, by notice given in writing by means of communication ensuring evidence and date of receipt (e.g. registered mail with return receipt, special courier, telex), in case of a
52 substantial breach by the other party of the obligations arising out of the Contract, or in case of exceptional circumstances justifying the earlier termination. 19.2 Any failure by a party to carry out all or part of his obligations under the Contract resulting in such detriment to the other party as to substantially deprive him of what he is entitled to expect under the Contract, shall be considered as a substantial breach for the purpose of Article 19.1. above. Circumstances in which it would be unreasonable to require the terminating party to continue to be bound by this contract shall be considered as exceptional circumstances for the purpose of Article 19.1. above. 19.3 The parties hereby agree that the violation of the provisions under Articles ..................7 of the present Contract is to be considered in principle, unless the contrary is proved, as a substantial breach of the Contract. Moreover, any violation of the contractual obligations may be considered as a substantial breach, if such violation is repeated notwithstanding a request by the other party to fulfil the contract obligations. 19.4 The Supplier may furthermore terminate the Contract with immediate effect if the Distributor no longer fulfils, for any reason whatsoever, the selection criteria set forth in Annex 2 or commits a breach of Contract that severely compromises the brand image of the Products, in particular: – the failure to provide adequate services to consumers, – the incompetence, absence or shortage of the staff required to satisfy the customer’s needs, – in the event of the sale of the Products to purchasers other than consumers or authorized distributors, selected by the Supplier. 19.5 Furthermore, the parties agree that the following situations shall be considered as exceptional circumstances which justify the earlier termination by the other party: bankruptcy, moratorium, receivership, liquidation or any kind of composition between the debtor and the creditors, or any circumstances which are likely to affect substantially one party’s ability to carry out his obligations under this Contract. ARTICLE 20 – EFFECTS OF TERMINATION 20.1 Upon termination of the Contract, the Supplier shall, if a minimum stock is required under Annex 6 or has been otherwise agreed, take back the entire stock of Products in good condition remaining in the Distributor’s possession, at the price paid by the Distributor. Any excess stock of Products may be repurchased by the Supplier at his discretion. 20.2 The Distributor shall return to the Supplier all commercial documents and other advertising or promotional materials regarding the Products that are in its possession. The Distributor shall also return the shop sign (if any) and remove any reference identifying him as a distributor of the Supplier’s Products.
53 ARTICLE 21 – PREVIOUS AGREEMENTS – MODIFICATIONS – NULLITY 21.1 This Contract replaces any other preceding agreement between the parties on the subject. 21.2 No addition or modification to this contract shall be valid unless made in writing. However, a party may be precluded by its conduct from asserting the invalidity of additions or modifications not made in writing to the extent that the other party has relied on such conduct. The second sentence of this clause is meant to protect a party against the other party using the clause in bad faith. When a party accepts a modification made orally and gives the other party reasons to rely upon the validity of such modification, it cannot thereafter argue that the modification was invalid because not made in writing. 21.3 If any provision or clause of this Contract is found to be null or unenforceable, the Contract will be construed as a whole to effect as closely as practicable the original intent of the parties; however if, for good cause, either party would not have entered into the Contract knowing the interpretation of the Contract resulting from the foregoing, the Contract itself shall be null. ARTICLE 22 – NO WAIVER 22.1 No delay or failure to act, whether express or implied, on the part of one of the parties when faced with a failure by the other party to perform any obligation, shall be interpreted or deemed approval or acceptance of such a breach or any other breach of the same or a different nature committed by the offending party. 22.2 The failure, on the part of one of the parties, to exercise any of its rights may in no way hamper the exercise of such right at a later time. In general, it is provided that the tolerance of one of the parties, confronted with a breach of duty by the other, or the failure of one of the parties to exercise a right it has, must not be deemed a waiver of the right to take action or to use the unexercised right at a later date. It should be noted that clauses of this type may be ineffective in certain jurisdictions, particularly where their strict application may conflict with the principle of good faith. ARTICLE 23 – APPLICABLE LAW 23.1 A Any questions relating to this Contract which are not expressly or implicitly settled by the provisions contained in this Contract shall be governed, in the following order: (a) by the principles of law generally recognized in international trade as applicable to selective
54 distribution contracts, (b) by the relevant trade usages, and (c) by the Unidroit Principles of Inter-national Commercial Contracts, with the exclusion – subject to Article 23.2. hereunder – of national laws. 23.1 B This Contract is governed by the laws of ........... (name of the country the law of which is to apply)8. 23.2 In any event consideration shall be given to mandatory provisions of the law of the country where the Distributor is established which would be applicable even if the Contract is governed by a foreign law. Any such provisions will be taken into account to the extent they embody principles which are universally recognized and provided their application appears reasonable in the context of international trade. 23.3 Unless otherwise agreed in writing, the sale contracts concluded between the Supplier and the Distributor within this selective distribution Contract will be governed by the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention of 1980, hereafter referred to as CISG), and to the extent that such questions are not covered by CISG, by reference to the rules and principles of law generally recognized in international trade as applicable to international contracts of sale. For the choice between alternative A and B see Introduction, § 6. ARTICLE 24 – RESOLUTION OF DISPUTES 24.1 In the event of any dispute arising out of or in connection with this selective distribution Contract, the parties agree to submit the matter to settlement proceedings under the ICC ADR Rules. If the dispute has not been settled within 45 days following the filing of a Request of ADR or within such other period as the parties may agree in writing, the parties will have recourse to the means of resolution of disputes set out in Article 24.2 hereunder. 24.2 A Arbitration All disputes arising out of or in connection with this distributorship contract shall be finally settled under the Rules of Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. 24.2 B Litigation (ordinary courts) In case of dispute the courts of .................. (place) ........................... (country) shall have jurisdiction.
55 ARTICLE 25 – AUTOMATIC INCLUSION UNDER THE PRESENT CONTRACT 25.1 If the parties have not made a choice between the alternative solutions provided in Articles 18, 23.1 and 24.2 under the letters A and B, by deleting one of the alternatives, and provided they have not expressly made a choice by other means, alternative A shall be considered applicable. 25.2 The Annexes attached to this Contract form an integral part of the Contract. Annexes or parts of Annexes, which have not been completed, will be effective only to the extent and under the conditions indicated in this Contract. ENDNOTES 1 In cases where it is possible to meet the requirements applied by the supplier without personal contact with the customer, a possible alternative may be the sale through an authorised website. 2 See Introduction, § 7. 3 This means for instance that the supplier cannot claim damages unless he shows that the distributor has breached another obligation under the contract. 4 It is usual that the supplier retains the right to modify prices, provided he gives an appropriate notice. However, an abuse of this right (e.g. an unjustified price increase with respect to a particular distributor) may conflict with Article 2. 5 Where the products are such as to require after-sales service, repairs, etc., a clause to this effect may be added. For example, it could be said that “Maintenance and repair of the Products shall take place in a workshop conforming to the requirements set out in Annex ...”. 6 This clause will not be applicable for products which do not require after-sales service or when such service is given by the supplier himself. 7 The parties may make reference here to those articles for which a breach is of particular importance.
